MCF advises the shareholders of gpi green partners international on the divestment of their shares to Evergreen Garden Care
gpi green partners international GmbH & Co. KG (“gpi”), one of the leading manufacturers and distributors of high quality and ecologically sustainable fertilisers and other garden care products for hobby and leisure gardeners, has been acquired by Evergreen Garden Care (UK) Ltd (“Evergreen”). Together with gpi, Evergreen will expand its market significance and production capabilities in Central Europe in a sustainable and future-oriented manner. Cross-border M&A expert MCF advised the shareholders of gpi and helped facilitate the transaction through its proven ability to successfully originate and execute transactions involving succession situations.
The Deal
Together with gpi, Evergreen will expand its market significance in Central Europe in a sustainable and future-oriented manner. The company is already established in the market with the strong labels Substral, Roundup, Nexa Lotte, Substral Naturen and Substral Celaflor.
The transaction also includes gpi’s 100% shareholding in GPL Green Partners Logistics GmbH (“GPL”), a raw materials logistics company and the 50% shareholding in NFI NorthFertilizerIndustry GmbH & Co. KG (“NFI”), a supplier of organic and organic-mineral fertiliser mixtures.
Both Evergreen and gpi will continue to operate independently in the future and further develop the product and service range for their customers. Evergreen and gpi are particularly committed to offering organic and natural products.
The Target
gpi green partners international, based in Gladbeck, Germany, is one of the leading companies in the production and marketing of fertilisers as well as plant protection products for the hobby gardener via DIY stores, garden centres and specialist trade. The Company acts as a private label producer for big garden centres and DIY stores and sells products under its three own brands Gärtner’s, Quadro and Extra%.
